They do this\u00a0either directly when members themselves vote\u00a0for candidates or\u00a0indirectly through\u00a0elected delegates.\u00a0As such, there is some variation in the way the\u00a0board election process works between individual cooperatives. If the cooperative has a high number of members and operates across\u00a0several regions, the members may elect delegate\u00a0who\u00a0then elect the board of directors on their behalf.\u00a0The number\u00a0of seats on the board is outlined\u00a0in\u00a0the cooperative&#8217;s\u00a0bylaws.<\/p>\n<p><strong>The role of the board of directors<\/strong><br \/>\nThe board of directors runs the cooperative on behalf of the members and represents their interests. The individual responsibilities of\u00a0board members are described\u00a0in the bylaws\u00a0of the cooperative and typically include appointing an executive and other committees.<\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-ltymg7xp-b78053bb5458bc6df78350d079a20a72 '   itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/CreativeWork\" ><div class='avia_textblock'  itemprop=\"text\" ><h2>Election process in board of directors elections<\/h2>\n<p><strong>Who can be a member of the board?<\/strong><br \/>\nDepending on the cooperative&#8217;s bylaws, anyone can be a director on the board including\u00a0members and\u00a0non-members.\u00a0In some cases, the cooperative will explicitly require\u00a0external directors to sit\u00a0on the board.<\/p>\n<p><strong>Nominations for the board of directors\u00a0<\/strong><br \/>\nEvery member of the cooperative can nominate candidates if the bylaws allow it. Details of\u00a0the\u00a0nomination process are also specified\u00a0in the bylaws.\u00a0Additionally, a deadline for submitting nominations is usually\u00a0set.<\/p>\n<p><strong>Term of the board of directors\u00a0<\/strong><br \/>\nThe term of the directors is set out in the bylaws, but it usually varies between 1 and\u00a05 years. In some cases, all members of the board have to be re-elected and approved every year by the membership.<\/p>\n<p><strong>Voting system and procedure<\/strong><\/p>\n<p>The bylaws establish the voting system and\u00a0<a href=\"\/cooperatives\/board-elections\/electoral-system\">voting procedure<\/a>\u00a0which will\u00a0be used in the election. For example,\u00a0they will specify\u00a0if votes are to be cast for individual candidates or parties\u00a0(or groups). Furthermore, the bylaws outline\u00a0the voting procedure\u00a0to be used\u00a0in the election.
