Amending the bylaws usually takes place at the Annual General Meeting of a cooperative. Members and the board of directors can bring forward&nbsp;resolutions to amend the bylaws&nbsp;which are then voted&nbsp;on. There is a certain percentage set in the bylaws&nbsp;of how many members have to vote in favor of the amendment. The individual cooperatives have to verify this with the relevant legislation&nbsp;and then decide if electronic voting option and online general meetings should be included in the <a href=\"\/cooperatives\/board-elections\/bylaws\">bylaws<\/a>.<\/p>\n<p>In order for your virtual general meeting to have a quorum, you should let your members vote online. Conduct online elections in addition&nbsp;<a href=\"\/ballot-box-election\">to voting on the AGM<\/a>&nbsp;or as an alternative to&nbsp;<a href=\"\/postal-voting\">postal voting<\/a>.<\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-ltymg7xp-b78053bb5458bc6df78350d079a20a72 '   itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/CreativeWork\" ><div class='avia_textblock'  itemprop=\"text\" ><h2>Examples for amending the bylaws*<\/h2>\n<p>If you want to encourage digitalization within your cooperative, take the first step by voting online. This way your members can actively participate&nbsp;in running&nbsp;your cooperative.&nbsp;<\/p>\n<p><strong>If your bylaws have not yet included electronic means for voting, here are a few examples of&nbsp;amendments&nbsp;for you:<\/strong><\/p>\n<p><strong>\u00a7 Election of the board of directors<\/strong><br \/>\nThe board of directors is elected through postal voting&nbsp;or&nbsp;<em>a similar, secure electronic voting option<\/em>&nbsp;for a two-year term.&nbsp;<\/p>\n<p><strong>\u00a7 General meeting<\/strong><br \/>\nEvery member has one vote in the general meeting. Absent members can cast their vote via postal voting&nbsp;or&nbsp;<em>a similar, secure electronic voting option<\/em>.&nbsp;<\/p>\n<p><strong>\u00a7 Delegates meeting<\/strong><br \/>\nEvery delegate has one vote at&nbsp;the delegates meeting.
