The board of directors election is therefore\u00a0of great importance. Here we\u00a0give you answers to the most frequently asked questions about these elections.<\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-ltymfqmc-a7e66dfd12d3c3a0f73a2f3629a0358f '   itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/CreativeWork\" ><div class='avia_textblock'  itemprop=\"text\" ><h2>General questions about associations&#8217; board of directors<\/h2>\n<p><strong>1) What legal position does the association\u2019s board of directors have? <\/strong><br \/>\nEvery association needs a board of directors\u00a0which acts as the managing executive. The board of directors represents the association in and out of court.<\/p>\n<p><strong>2) Do associations need to be registered?<\/strong><br \/>\nRegistering associations is part of state law in the United States and every state has its own registration procedure.\u00a0In Canada, provincial as well as\u00a0federal law applies\u00a0to\u00a0the registration of associations.<\/p>\n<p><strong>3) How many directors sit on\u00a0the board? <\/strong><br \/>\nBoards of directors in associations are\u00a0usually\u00a0comprised of at least three members. A\u00a0board of directors typically\u00a0has\u00a0more than one member so that the directors can consult and monitor\u00a0each other more effectively.<\/p>\n<p><strong>4) What\u00a0is the election process for directors on the board?<\/strong><br \/>\nThe election process depends on the voting procedures used in the association. If members\u00a0are\u00a0allowed to vote online or by post, the election period usually starts before the Annual General Meeting (AGM) and ends with the AGM so that the results can be made public at the meeting. Another possibility is that members are\u00a0only able to vote at the AGM in person, which typically applies for smaller or local associations. The details about the election process are constituted in the bylaws of the association.<\/p>\n<\/div><\/section><br \/>\n<section  class='av_textblock_section av-ltymg7xp-b78053bb5458bc6df78350d079a20a72 '   itemscope=\"itemscope\" itemtype=\"https:\/\/schema.org\/CreativeWork\" ><div class='avia_textblock'  itemprop=\"text\" ><h2>Who can be elected to the board of directors?<\/h2>\n<p><strong>5) Can only members be elected to the board? <\/strong><br \/>\nA board of directors can be made up of internal members and\u00a0external directors. The latter\u00a0option has to be included in the bylaws. It can also be the case\u00a0that only members can\u00a0be elected to the board. This is typical for most associations.<\/p>\n<p><strong>6) Who can nominate candidates and until what deadline?<\/strong><br \/>\nIn general, every member can nominate candidates for the board of directors election. Nominations can be handed in via post, electronically or in person at\u00a0an association\u2019s branch or headquarters. The nomination period usually starts several weeks before the election. However, every association has specific rules about their nomination procedure\u00a0which are recorded in the bylaws.<\/p>\n<p><strong>7) <\/strong><strong>How long is the term for the board? <\/strong><br \/>\nThere is no single rule governing how long a director can serve on the board. Some associations elect or re-elect a new board annually, but most\u00a0have a two\u00a0or three\u00a0year term. Some terms can even be as long as five years.<\/p>\n<p><strong>8) What\u00a0responsibilities\u00a0do board members have?<\/strong><br \/>\nBoard members are elected to run the association on behalf of its members. They usually appoint or elect an executive committee to manage the association. For example, active members can be members who\u00a0organize the association\u2019s events, whereas passive members simply pay\u00a0membership fees whilst not becoming involved in organizational matters.<\/p>\n<p><strong>10) Can Annual General Meetings be held electronically? <\/strong><br \/>\nHolding an online AGM in associations is legally possible. The criteria for electronic AGMs are written in the bylaws of the association.<\/p>\n<p><strong>11) <\/strong><strong>Is online voting possible in associations?\u00a0<\/strong><br \/>\nTo make online voting possible and legal in your association,\u00a0electronic voting\u00a0has to be specified as an option in the bylaws. A resolution or amendment should be sufficient to include online voting.
